Document Summary

Non-conforming goods do not satisfy the contract terms. The ucc requires good faith in the performance and enforcement of every contract. Between merchants, it also means the use of reasonable commercial standards of fair dealing. Good faith- the ucc requires that contracting parties perform and enforce their deals honestly. Seller(cid:495)s rights and obligations: the ucc demands only that the seller make a reasonable attempt at delivery. The seller must tender the goods, which means to make conforming goods available to the buyer. The seller must always: make the goods available at a reasonable time, keep the goods available for a reasonable period, deliver to the buyer any documents that it needs to take possession. Perfect tender rule: the buyer may reject the goods if they fail in any respect to conform to the contract. Perfect tender rule- under the ucc tendered goods must be exactly as described in the contract.
