There is an offer and an acceptance potentially, but maybe the acceptance is different than the offer. Q: how do we know if a contract exists under the ucc? (we are talking about a sales of good case here) First, the ucc focuses on the intent of the parties (meaning what did these 2 parties intend; did they intend in their discussions, that a contract should exist? what was their intention?) Different term vs additional term: maybe the offeror gives an offer to supermarket owner i"ll supply u with 1,000 bananas and 1,000 apples in exchange for 5,000 as long as u pay me within 10 days.
