Consolidation
Starting point: comparing the latest F/S of both the parent and the subsidiary
F/S are on the basis of cost
Value is equal to F/S of parent (carrying value at B/S date) + F/S of subsidiary (carrying
value at B/S date) + consolidation adjustments (fair value at acquisition date)
Consolidation adjustments are not just made anywhere
o made in working papers
o not recorded for
o but, must be accounted for in the future
Replacement of the investment account with the A+L of the subsidiary
Any intercompany transaction (sales and COGS) are eliminated
o if sale is at 10k and cost is at 8k, it is eliminated at 10k
if subsidiary bought at 10k and sold at 20k
o other examples: balances, loans, A/R, A/P
Eliminations and Adjustments
o parent paid at FV for the subsidiary, not cost
FV cost = FV adjustment on consolidated F/S
o do not account for the FV of the subsidiary on the balance sheet date
account for the FV at the time of purchase
o adjustment for unrealized profits
o FV adjustment
cost of the subsidiary goes up over time to account for more profits made
if it costs 10k and the FV is 15k, there would be a 5k adjustment
Example:

o no new equity was created at the time of creating the subsidiary
o e eliiated the oe’s euit of the susidia at the tie of auisitio; it is
not added at time of acquisition

then it is added to the F/S of the parent
o if the subsidiary makes $100 more in cash, then it is adjusted for in the cash and
R/E of the parent
